These Terms of Use ("Terms") explain how Gray Whale Inc ("Gray Whale," "we," "us," or "our"), a Delaware C corporation, provides software services, developer tools, APIs, applications, and related consulting services through our website https://demo.graywhale.ai (the "Website") and the terms and conditions that apply to your use of our services.

By accessing or using our Website, services, developer tools, or APIs, you agree to these Terms. You represent and warrant that you have the authority to accept these Terms on behalf of yourself, a company, and/or other entity, as applicable.

We may change, amend, or terminate these Terms at any time. Your continued use of our services after any change means you agree to the new Terms.

1.2 Structure of This Agreement

These Terms consist of:

  • The main Terms of Use that apply to all users of our services
  • The Data Processing Agreement (DPA) in Section 16, which applies when we process personal data on your behalf
  • Any additional terms, policies, or agreements referenced herein

2. Services

2.1 Our Services

Gray Whale provides Large Interaction Model (LIM) technology, developer tools, APIs, applications, and related consulting services. Our services may include:

  • Access to our behavioral AI models and algorithms
  • Developer tools and APIs for integration with your applications
  • Software applications that utilize our LIM technology
  • Consulting services related to AI implementation and optimization

Our AI inference runs on Gray Whale's own infrastructure. No user queries or behavioral data are sent to third-party AI providers.

2.2 Service Modifications

We may modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice of material changes when practicable.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or breach of security.

3.3 Age Restrictions

Our services are not intended for use by individuals under 18. By using our services, you represent and warrant that you are at least 18 years of age.

4. User Obligations

4.1 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Transmit unsolicited advertising, spam, or chain letters
  • Impersonate Gray Whale, its employees, or any other person or entity

You may not use our services to develop or train any competing product, reverse engineer our services, or attempt to derive the source code, algorithms, or architecture of our systems.

All rights in and to our services, including all intellectual property rights, are and will remain the exclusive property of Gray Whale and its licensors.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes or personal use.

5.3 Your Content

You retain all rights in any content you submit through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use it in connection with providing our services to you.

6. Data Processing and Privacy

Our Privacy Policy explains how we collect, use, and disclose information. By using our services, you consent to our data practices as described therein. Gray Whale does not sell your data or share your behavioral data with third-party AI providers. All processing occurs on Gray Whale infrastructure.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms and to use it only for the purposes set forth herein.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GRAY WHALE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAY WHALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OUR SERVICES.

10. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
